Terms of Service

1. Who we are

Vidyo (accessible at https://vidyo.video) is a service operated by Cliste Media LLC, a limited liability company registered in Wyoming, United States, with its registered address at 30 N Gould St, Ste 25315, Sheridan, WY 82801, United States. By creating an account, purchasing credits, or otherwise using the service, you agree to these Terms of Service. If you do not agree, do not use the service.

2. The service

Vidyo turns your songs into finished music videos and social-ready video cuts (“Release Kits”) using AI-assisted generation and automated video rendering. You upload audio (and optionally images or creative direction), and we deliver rendered video files that you can download from your account.

All prices are displayed and charged in US Dollars (USD). Videos are digital goods delivered electronically to your account — typically within minutes to a few hours of submitting a render, depending on queue load.

3. Accounts

You must provide accurate information when creating an account and keep your credentials secure. You are responsible for all activity under your account. You must be at least 18 years old, or the age of majority in your jurisdiction, to purchase from us.

4. Purchases, billing, and cancellation

Payments are processed securely by Stripe. We never store your full card details. Purchases may take the form of one-time credit packs or recurring subscription plans, as shown on our pricing page at the time of purchase.

• Subscriptions renew automatically at the end of each billing period until cancelled. You can cancel at any time from your account or by emailing support@vidyo.video; cancellation takes effect at the end of the current billing period and you keep access until then.
• Credits are consumed when you start a render. Unused credits remain available on your account while it stays open.

Refunds are handled according to our Refund Policy.

5. Your content and license

You retain all rights to the audio, images, and other material you upload. You represent that you own or have the necessary rights to everything you upload, including the underlying musical composition and recording. You grant us a limited license to process your uploads solely to provide the service.

Subject to payment, we assign to you all rights we hold in the finished videos generated for you, and you may use them commercially — including on streaming and social platforms. AI-generated output may not be protectable by copyright in every jurisdiction, and we make no warranty as to registrability.

6. Acceptable use

You agree not to use the service to:

• upload content you do not have rights to, or that infringes any third party’s rights;
• create content that is unlawful, defamatory, or sexually exploitative, or that depicts real people without their consent;
• interfere with, reverse engineer, or abuse the service, its APIs, or its infrastructure;
• resell or redistribute the service itself (as opposed to the videos it produces for you).

We may suspend or terminate accounts that violate these terms.

7. Third-party services

The service relies on third-party providers, including payment processing (Stripe), authentication (Clerk), and cloud AI and hosting infrastructure. Their availability can affect ours; we are not responsible for outages caused by third parties, though we will always work to restore service promptly.

8. Disclaimers and limitation of liability

The service is provided “as is” and “as available.” Generative output varies; we do not guarantee any particular artistic result. To the maximum extent permitted by law, Cliste Media LLC will not be liable for indirect, incidental, special, or consequential damages, and our total liability for any claim is limited to the amount you paid us in the twelve months preceding the claim. Nothing in these terms excludes liability that cannot be excluded by law, including statutory consumer rights in your jurisdiction.

9. Governing law

These terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Wyoming, except where mandatory consumer protection law gives you the right to bring proceedings in your home jurisdiction.

10. Changes and contact
